Course Contents: Main concern- the regulation of cross-border capital raising transactions under the laws of Canada, the US, and the European Union. Offering of securities to investors outside the home country of an issuer; the disclosures requirement for offering and trading securities outside the home country; the extra-territorial application of anti-fraud provisions; tender offers across the border; comparative regulation of insider trading and market manipulation; and broker-dealer activities involving transnational transactions.
